An Ottawa-area investor funding a U.S. enterprise, particularly one connected to a local research spin-off, may combine personal savings, a matured registered account, and a provincial or federal innovation-support loan or grant tied to the underlying technology. Each source needs its own path-of-funds documentation, and a support program tied to the Canadian side of the technology does not by itself establish that the resulting capital is a qualifying E-2 investment in the U.S. enterprise.
Separate innovation-support funding from the investor's own committed capital
Hypothetical example: commercialization funding has conditions restricting the recipient, permitted use or location of expenditure. Identify the owner of each amount, its lawful source and the conditions that apply before proposing a U.S. transfer. If borrowing is involved, distinguish personal unsecured or personal-asset-secured debt from debt secured by enterprise assets. Do not assume restricted grant money is available to the investor or that repaying a different loan changes who owns a particular fund.
Trace a matured registered account into the investment
If part of the funding comes from a matured RRSP or similar registered account, document the withdrawal, any tax withheld, and the transfer into the funds actually used for the U.S. enterprise. Keep the registered-account statements distinct from the investment account records, and identify the date each amount became the investor's freely available capital.
Explain the enterprise's own commercial activity apart from the underlying research
A technology's research merits or a spin-off's academic origin do not establish the non-marginality of the resulting U.S. enterprise. Describe the actual products or services the business will sell, its customers, and its supported financial expectations, keeping the research narrative and the commercial operating plan as separate, connected accounts. The investor needs relevant treaty nationality and development-and-direction authority, with at least 50% relevant national enterprise ownership, substantial lawful capital committed at risk and intent to depart when E status ends. There is no universal E-2 minimum; enterprise-asset-secured borrowing does not qualify on that basis.
